Corporate Law

Company law compliance

The Corporations Act regulates the way in which companies must operate in Australia. It contains specific provisions regulating a range of matters impacting upon public and private companies including:

  • governance of a company;
  • capital reorganisation;
  • dividend distribution;
  • share restructures (issuing, cancelling, buying back, splitting and varying rights in respect of, shares);
  • private and public capital raising;
  • directors’ duties;
  • shareholders’ rights; and
  • company secretarial requirements.

Listed companies

We are able to assist publicly listed companies on compliance with relevant stock exchange rules whether arising as a result of a contemplated transaction or on an ongoing / day to day basis.

Banking and Finance

We are well equipped to advise on all aspects of financing and security interests including:

  • various financing facilities (including loan agreements, lines of credit, convertible notes and promissory notes);
  • debt restructures;
  • taking security over property (including specific security, general security and mortgages);
